We are looking for a Legal Counsel to join our team.
Job Description
- Manage the full legal lifecycle of group entities in multiple jurisdictions — incorporations, annual compliance, internal approvals, and closures;
- Prepare, coordinate, and maintain corporate documents: shareholder and board resolutions, certificates, PoAs, UBO declarations, share transfers, and director appointments;
- Serve as the primary legal contact for external administrators, company secretaries, regulated intermediaries, and registered agents supporting group companies;
- Support legal input into international restructurings, new entity setups and corporate reorganisation projects;
- Monitor and maintain internal governance registers, KYC files, group charts, and signature authorities across all active legal entities;
- Coordinate internal approvals and contribute to the design of efficient governance processes and decision-tracking tools
- Respond to internal requests on company structures, signatories, control rights, and document validity.
Qualifications
- Legally qualified (civil or common law jurisdiction) with at least 4 years of experience, ideally in corporate law, M&A, or legal entity management within a multinational in-house team;
- Strong command of corporate governance, company law, and international structuring;
- Experience managing legal entities through third-party service providers and acting as the internal coordinator of sensitive corporate actions;
- Familiarity with beneficial ownership transparency, KYC/AML requirements, and the legal implications of nominee, trust, or fiduciary structures;
- High level of discretion and professional judgement, especially in handling confidential and commercially sensitive structures;
- Excellent drafting and communication skills in English; additional languages are a plus.
